BH Legal is a boutique corporate commercial law firm located in Vancouver, BC. The firm was established in 2018 with a focus on financial services/lending and commercial matters. BH Legal represents Canadian, US, and private lenders on various financing matters, including acquisition financings and syndicated and term loans. For commercial clients, the firm acts as external in-house counsel, working closely with management and advising on a range of commercial matters relating to operations, including strategic acquisitions/dispositions, finance, and risk management.
BH Legal was devised to be a disruptor in the legal community, offering clients alternative billing models (including fixed fee). The firm’s managing partner, Bahar Hafizi, understood that to create a competitive legal practice in a mid-market city like Vancouver, BH Legal needed to defy industry convention and implement an innovative business model that allowed for flexibility and addressed market demand for change in fee structure.
BH Legal’s clients include The Bank of Nova Scotia, the Canadian Imperial Bank of Commerce, Aspen Planers Ltd., the Graze Company, and Ignite Pizzeria.

Bahar Hafizi is the managing partner of BH Legal. She is a corporate commercial lawyer, with a focus on financial services, commercial, and real estate law. Bahar started BH Legal after 15 years in the national firm context. She is a business leader and a change-maker. Bahar has been a catalyst for positive change in financial services – an area of practice that has traditionally succeeded only at large/national firms. In 2022, Bahar was recognized as one of the Top 25 Most Influential Lawyers in Canada by Canadian Lawyer Magazine.
Bahar has published features in The National and Canadian Lawyer. She believes in service and has sat on various boards, including as president of the Association of Women in Finance. She has received Lexpert’s Zenith Award for pro bono work and currently sits on the board of the West Vancouver Memorial Library.

Wayne Egan is the Co-Managing Partner at WeirFoulds. He practises in securities and corporate law, focusing on advising clients involved in raising money, considering and implementing going-public transactions and meeting legal obligations existing in the public markets.
Wayne is experienced in advising private and public corporations on various financing and regulatory matters, including initial public offerings, private placements, mergers and acquisitions, reorganizations and stock exchange listing applications. Wayne couples his deep understanding of the highly technical and complex nature of securities law with his ability to provide clients with clear guidance and easy-to-understand advice in a timely and efficient manner.

Prior to joining Lawson Lundell, Derrick was an Executive of Coast Mountain Bus Company where he oversaw 260 staff in the areas of Finance and Corporate Services.
In 2019, Derrick was recognized as one of the Business in Vancouver Forty Under 40 winners. In 2014, he was recognized as one of the global Institute of Internal Auditors’ top 20 emerging leaders, based on professionalism, leadership, certifications, advocacy, community service and innovation.
