How we think about
board composition
Successful Non-Executive Directors have a strong understanding of the business and challenges ahead. They
are also able to establish a healthy relationship with their boardroom colleagues and the Executive team. This means
the nature of the person being recruited is as important,
often more important, than the “CV” being hired.

Skills and knowledge
The new director's skills and
knowledge should complement the
current board and its strategy.

An effective director is one with a
proven record of converting knowledge into results, with the reputation and
credibility to lead and influence.
Reputation and achievement

While harder to measure traits like skills and knowledge, essential intangibles such as leadership and character can be objectively assessed, given the proper tools.
Leadership and character

+
A prospective director must be available to serve, free from conflicts and commit their time to the role. The board’s expectations and the candidate’s must be in sync.
Availability and motive
This is used throughout the Board Progression Planning process to reshape and build a Board
team with the required complementary qualities to add distinctive value on what really matters.
