But UFC Gyms tried to put Xponential up against the ropes when it filed an Anti-SLAPP suit to stop the recruitment of UFC employees. Xponential brought in Orrick for the knock-out punch. Since then, this Orange County-based industry leader has continued to expand its powerful national brand portfolio.
NRG Energy
Our Energy and Infrastructure team represented NRG Energy – one of the largest U.S. energy generators – in the $690 million financing of the 600MW Carlsbad Gas-Fired Energy Center in San Diego. This is one of the very few recent financings of new-build gas-fired generation in California and represents an important step in alleviating grid loss in the region.
Macquarie Capital (USA) Inc.
The Aliso Canyon gas leak, the largest in U.S. history, inspired our client, Macquarie Capital (USA) Inc., to invest in better solutions. The result is a US$200 million portfolio of battery storage projects in Los Angeles. This first-of-its-kind project financing of aggregated demanded response battery storage contracts paves the way for greater investment in battery storage nationwide. The project was named "North American Storage Deal
of the Year" at the 2017 IJ Global Awards.
Hackman Capital
We are working with a Hackman Capital-sponsored real estate fund subsidiary on the development of “The Culver Steps.” The site is between The Culver Studios historic mansion and bungalows (owned by a Hackman sponsored entity, where Amazon Studios and related divisions reside) and the iconic Culver Hotel. The renovated studios will offer 720,000 square feet – allowing Amazon to expand and offering other entertainment companies next-generation creative office and production space. The project was recognized at the 2018 Los Angeles Architectural Awards.
Investing in our Communities
Orrick’s public finance practice – consistently ranked as the number one bond counsel nationwide by Thomson Reuters – is a leader in SoCal, too. We helped state and local entities raise nearly $10 billion last year to finance everything from county, city, college and school facilities to improvements to the Pasadena Rose Bowl Stadium. We also assisted with a public-private partnership lease revenue bond financing the construction of a 21-story office building on behalf of the County of Los Angeles, part of a project to bring jobs, housing and public space to a blighted area of LA.
Ocwen Financial Corporation
Ocwen Financial Corporation knew there had to be an approach to due diligence that produced higher quality and greater efficiency. So, they collaborated with the Orrick structured finance team, Quislex and another international law firm to harness people, process and technology. The resulting project won the ACC Value Champion for Innovative Collaboration Award in 2018. We are proud to help clients like Ocwen come up with better ways to run their businesses.
Calcot
Calcot, a cooperative representing over 1,200 cotton farmers in California and neighboring states and one of the nation’s largest cotton exporters, faced a damaging lawsuit concerning its investment activities. Ready to fight, they brought in our team only three months before trial. We filed briefings and argued motions that convinced the court to rule all claims were improper – a swift and complete victory for our client. To add to the result, we recovered a significant portion of our legal fees and costs as the prevailing party.
Audible Magic
Despite early settlements by nearly all 100 parties sued by Blue Spike LLC, Orrick and Audible Magic didn’t stand down. Audible Magic faced patent infringement claims related to its audio recognition technology, and our team not only fought the allegations and obtained summary judgment of noninfringement on all claims, but we also brought on our own counterclaims. In a true reversal, Blue Spike agreed to settle Audible Magic’s counterclaims instead of facing trial, and agreed not to sue Audible Magic or its customers again.
Scat Enterprises
Scat Enterprises is a Redondo Beach family business – born to supply parts for dune buggies on SoCal’s beaches – that has transformed itself into a seller of high-quality precision auto parts to custom car enthusiasts worldwide. The company turned to our team when it faced serious trademark infringement claims by the Chrysler Group. The suit threatened Scat’s use of its name and the 50-year-old brand associated with the founder’s life's work. Our team helped Scat navigate a challenging litigation and ultimately achieved a successful settlement, preserving the validity of Scat’s trademark registrations.
