1. Visit https://shareworks.solium.com/activate 2. Enter the activation code provided by your company 3. Click the link to access a verification page and enter the required identifying information 4. Once your identity has been verified, create a login ID, username and, password Note: If you choose not to create a username, you will be provided with an account number as your username. Immediate access to your account is provided. If you misplace or lose your activation code, please try the company email activation method described above, or call our Participant Experience Group for assistance.

In approximately 30 minutes, you will receive an email that contains a link to activate your account Note: The email message will contain some specific information you will need to have handy in order to complete the activation process. 4. Tasks
Shareworks breaks down your total value into four sections: Items In Progress: Transactions that are currently in progress (you will only see this if there is a transaction in progress) Available: A summary of vested shares available to transact Unavailable: A summary of unvested shares not available to transact Total Portfolio Value: The sum of all of the above

DOCUMENTS TAB
Notification bar
View upcoming or past events on the right-hand side. This section displays activities such as upcoming vest dates and past transactions.
In the Documents tab, you can access any information that is relevant to your account including your plan documents, grant agreements, country-specific tax supplements, and any tax slips issued based on your account activity.
Portfolio TAB
In the Portfolio tab, you can view the details of your individual awards, including your ESPP (if eligible). You will also be able to use the Model Exercise tool, exercise vested options, or sell available shares.

In the Activity tab, you can view past events, such as RSU releases, option exercises, and in progress transactions. You can also run your own activity statements and reports over a specified time period.
The Notification bar alerts you of any important notices such as upcoming blackouts, current blackouts, and market closures.
The tasks area displays any activities for you to complete such as: - Accepting grant agreements - Selecting your release method

Keeping your banking information up to date is important to ensure that your funds are delivered accurately.
updating your banking and brokerage INFORMATION
To Update Your Banking Information:
1. Sign in to your Shareworks account 2. Click your name on the top right 3. Click View Profile 4. Under the Financial Institution Information section select Manage Banking Information 5. Click Edit Banking Information 6. Make your desired edits 7. Shareworks will need to verify that the edits are requested by you. To do that, select how you would like to receive the verification code 8. Enter the verification code once you receive it and click Save
To Update Your BROKERAGE Information:
1. Complete steps one to four above 2. Under the Financial Institution Information section select Manage Brokerage Account Information 3. Select Add Brokerage Account or Edit Brokerage Account 4. Complete the form or make required edits 5. Click Save

EXERCISING YOUR STOCK OPTIONS
1. Sign in to your Shareworks account 2. Click the Portfolio Tab 3. Select the Stock Options and Awards tab 4. Locate the Options grant you would like to exercise 5. Select the Exercise link on the right 6. Select the type of exercise you would like to use and click Continue 7. Enter the number of shares you would like to transact in the Exercise Quantity field and click Continue 8. Select the Delivery Instructions 9. Review the Exercise Direction Form and click Accept 10. Accept the Online Disclaimer 11. Click Submit Exercise Your transaction and a transaction reference number will now appear under the Activity tab.
To exercise your stock options
A stock option is a right to purchase company shares at a specific price, usually after a period of time (vesting). Stock Option exercises may only be requested through your Shareworks account.
blackout periods
A banner at the top of the screen will appear if you are currently in a blackout period.
expiry
Your stock options will generally expire if you remain an active employee. However, upon termination, you will usually have a set period of time to exercise your outstanding vested options or they will be forfeited. Please refer to the expiry date in Shareworks after termination. If your expiry falls on a non-trading day, you must exercise no later than market close on the trading day prior to your expiration date.

Delivery Instruction: ACH (Automated Clearing House) – if you have a US bank account, you may complete an ACH payment to deliver the proceeds to your bank account. NOTE: It is extremely important to enter your financial information accurately, there may be a delay of 5 to 10 business days if entered incorrectly. Wire to Bank Account – funds can be electronically wired to your bank account as specified during the transaction process. NOTE: Wired funds can be easily tracked if there are any issues with your financial information. Proceeds are typically credited to your bank account shortly after the settlement date of your transaction.
Exercise: To exercise your options means to purchase the share at a pre-determined price.
Model Exercise: Model your exercise to understand more about your estimated taxes, fees, and get an idea of what the exercise will cost you. Navigate to the grant you would like to exercise, click Model Exercise and follow the steps.
Exercise Types: Depending on your company's plan you will have different exercise type options. Here are some common ones: Cashless Exercise/Same-Day-Sale: Exercise options and sell all shares Sell-to-Cover: Exercise Options, sell just enough shares to pay for the options and hold the remaining shares Exercise and Hold: Exercise options and hold the shares

Lot Selection: Earliest Acquisition First (First In, First Out)– The shares you acquired will be sold first Select by Acquisition Date – Chose which shares will be sold.
Order Type Market Order – Exercise today using most recent close price Limit Order with a good to date – Sell when the market price meets or exceeds a specified price - Shareworks will automatically sell the shares at the price specified.

Selling Shares
SELLING YOUR SHARES
1. Sign in to your Shareworks account 2. Click the Share Purchase and Holdings tab 3. Locate the shares in the Share Holdings section under the Available to Transact heading 4. Click Transact 5. Select the transaction type, Real Time Sale or Shares Transfer 6. Select the Lot Selection you would like to use 7. Select the quantity of shares you would like to withdraw and click Continue Tip: Use the Select 100% flag to sell all of your shares 8. Select the order type, Market or Limit Order 9. Select how you would like the proceeds delivered 10. Verify the details and Accept the Online Disclaimer Your transaction and a transaction reference number will now appear under the Activity tab.

If you have vested Restricted Stock Units (RSUs) or shares in your savings plan, you will be able to sell or withdraw them directly from Shareworks. You will see the net proceeds in your account within two to five business days, depending on the delivery method.

restricted Awards
1. Sign in to your Shareworks account 2. Click Choose method in the Choose release method tile in the Tasks bar 3. Review and select which release method you would like to use for this grant 4. Select your Delivery Instructions (see the Banking Info tab for more details) and click Continue 5. Review the Release Direction Form and click Accept 6. Verify the details and Submit the Election 1. Sign in to your Shareworks account 2. Click your name in the top right corner, select View profile 3. Under the Miscellaneous Account Information section, select the Manage Default Release Election link 4. Click the Elect Default Release Method button 5. Review and select which release method you would like to use 6. Select your Delivery Method (see the Banking Info tab for more details) 7. Review and click Save
Restricted awards
When you receive a restricted award, your employer promises to grant restricted stock at a specified point in the future. Once this time has elapses, your restricted award is "released". At this point, you can liquidate or cash in your award. To do so, follow the instructions below. It's also important to know, some companies offer multiple release elections that you may have to choose from, the most common are: - Sell to cover - Pay taxes and fees separately, receive all shares - Sell all - Net withhold

To change your default release method:
Your default release election method will be used in all future election windows where you do not make a specific election. In the case your default release election method is not available for a release, Shareworks will notify you in advance so you can update your election.
This release election will only cover the grant noted under the Grant name section. Future releases may prompt you to select another release method. You can change your default release method through the Profile drop-down (see below).
Sell to cover - Sell enough shares to cover taxes and fees, receive balance as shares Pay for taxes and fees separately, receive all shares - Receive all shares but pay taxes and fees separately to your company Sell All - Sell all shares, use proceeds to cover taxes and fees, receive balance as cash Net Withhold - Withhold shares to cover taxes, pay for fess separately, receive remaining shares
